Standard License Agreement for Stock Images

1. Grant of License Rickie Recardo Photography ("Licensor") grants the licensee ("Licensee") a non-exclusive, non-transferable, worldwide license to use the licensed images ("Images") under the terms and conditions set forth in this agreement.

2. Permitted Uses Licensee may use the Images for the following purposes:

Personal, business, or commercial use, including advertising, marketing, websites, social media, presentations, and more.

Reproduction of the Images up to 500,000 copies.

3. Restrictions Licensee agrees to the following restrictions:

The Images may not be used in products for resale, such as posters, t-shirts, or mugs, where the primary value is the image itself.

The Images may not be used in any manner that is defamatory, obscene, or otherwise illegal.

The Images may not be sublicensed, resold, or redistributed in any form.

The Images may not be used in a way that suggests endorsement or sponsorship by the Licensor without prior written consent.

4. Modifications Licensee may modify the Images to fit their needs, provided that the modifications do not violate the terms of this agreement.

5. Ownership All rights, title, and interest in and to the Images remain with the Licensor. This license does not transfer any ownership rights to the Licensee.

6. Termination This license is effective until terminated. Licensor may terminate this license at any time if Licensee breaches any of the terms of this agreement. Upon termination, Licensee must cease all use of the Images and destroy any copies in their possession.

7. Indemnification Licensee agrees to indemnify and hold harmless the Licensor from any claims, damages, or liabilities arising from the use of the Images.

8. Governing Law This agreement shall be governed by and construed in accordance with the laws of the state of Virginia, United States.
